Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Birth Science Unpacked Clinical Reference service. These Terms form a binding legal agreement between you and AVENORA HEALTH PLLC dba Birth Science Unpacked ("Birth Science Unpacked," "BSU," "we," "us," or "our").

By creating an account, subscribing to, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.


1. The Service

Birth Science Unpacked Clinical Reference is a subscription-based clinical reference and decision-support tool intended for use by advanced practice providers in obstetrics, including certified nurse midwives (CNMs), certified midwives (CMs), nurse practitioners, physician associates, and other qualified healthcare professionals practicing within their licensed scope of practice. The Service provides guideline summaries, diagnostic frameworks, management protocols, and clinical calculators sourced from published professional and clinical guideline bodies.

The Service is a reference tool. It is not a substitute for clinical judgment, individualized patient assessment, current institutional policies, or direct consultation with appropriate medical specialists.


2. Important Clinical Disclaimer

Read this section carefully. It defines the scope and limitations of the Service.

2.1 Reference Tool Only

The Service provides clinical reference information for educational and informational purposes only. It does not constitute medical advice, diagnosis, treatment, or a recommendation for any specific patient. The Service does not replace the independent clinical judgment of a licensed healthcare provider.

2.2 No Provider-Patient Relationship

Use of the Service does not create a provider-patient relationship between you and Birth Science Unpacked, between any patient and Birth Science Unpacked, or between you and any other user of the Service. Birth Science Unpacked does not provide medical care, does not direct patient care, and is not a party to any clinical decision you make.

2.3 Your Professional Responsibility

You are solely responsible for:

  • Verifying that any information presented in the Service is appropriate for the specific patient and clinical situation in front of you
  • Consulting current official guidelines, institutional protocols, and primary literature
  • Exercising independent clinical judgment in every patient encounter
  • Complying with all applicable laws, scope-of-practice regulations, and licensing requirements in your jurisdiction
  • Confirming that any drug, dose, or intervention referenced in the Service is appropriate, current, and accurate for the patient

Clinical guidelines change. Drug labeling changes. Standards of care evolve. The Service may not reflect the most current published guidance at the moment you use it. You must verify information against current primary sources before acting on it.

2.4 Not for Patient or Public Use

The Service is intended for qualified clinicians only. It is not designed for, marketed to, or appropriate for use by patients, the general public, or anyone without appropriate clinical training. If you are a patient seeking medical advice, consult a qualified healthcare provider in person.

2.5 Not a Medical Device

The Service is not a medical device. It is not cleared, approved, or regulated by the U.S. Food and Drug Administration (FDA) or any equivalent regulatory body. The Service does not diagnose, treat, cure, or prevent any disease.

2.6 No Patient Data

You must not enter protected health information (PHI), patient names, medical record numbers, or any other patient-identifying information into the Service. The Service is not a HIPAA-covered system and is not designed to store, transmit, or process PHI. You are solely responsible for compliance with HIPAA and all applicable privacy laws.


3. Account Eligibility and Registration

3.1 Eligibility

To use the Service, you must be:

  • At least 18 years of age
  • A licensed healthcare professional or healthcare professional in training, practicing within your scope of practice
  • Legally capable of entering into a binding contract
  • Not barred from receiving the Service under the laws of the United States or any other applicable jurisdiction

3.2 Account Registration

You agree to provide accurate, current, and complete information during registration and to update that information as needed to keep it accurate. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3.3 One User Per Account

Each subscription authorizes use by a single individual. You may not share, sell, transfer, sublicense, or otherwise make your account credentials available to any other person, including colleagues, employees, students, or members of the same institution. Each individual user must maintain a separate subscription.

We reserve the right to suspend or terminate accounts that we reasonably believe are being shared, including based on signals such as concurrent sign-ins from distant geographic locations, abnormal usage patterns, or direct evidence of credential sharing.

If you represent an institution, healthcare system, residency program, or other multi-user entity and wish to provide access to multiple users, contact us at support@birthscienceunpacked.com to discuss institutional licensing.


4. Subscription, Billing, and Cancellation

4.1 Subscription Plan

The Service is offered on a recurring monthly subscription basis at $9.99 USD per month, billed in advance. Prices may change with notice; any change will take effect at the start of the next billing cycle following notice.

4.2 Payment

All payments are processed by Stripe, Inc. By subscribing, you authorize Birth Science Unpacked, through Stripe, to charge your designated payment method on a recurring monthly basis until you cancel.

You are responsible for maintaining a valid payment method on file. If a payment fails, we reserve the right to suspend or terminate access to the Service until payment is resolved.

4.3 Auto-Renewal

Your subscription automatically renews each month on the anniversary of the initial billing date until you cancel. The renewal charge will be billed to the payment method on file.

4.4 Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal, accessible from your account menu within the Service. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of the period you have already paid for.

4.5 No Refunds

All subscription charges are non-refundable. We do not provide refunds, credits, or pro-rated amounts for partial months, unused time, or any other reason, except where required by applicable law. Canceling your subscription stops future charges but does not refund prior charges.

4.6 Failed Payments

If a renewal payment fails, we may retry the charge over several days. If payment is not successfully collected, your subscription will be suspended and access to the Service may be restricted until payment is updated.


5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Provide false, misleading, or fraudulent information during registration or while using the Service
  • Share, transfer, or sublicense your account credentials
  • Attempt to access the Service through automated means (bots, scrapers, crawlers) except as expressly permitted
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service
  • Copy, redistribute, republish, or commercially exploit content from the Service except as expressly permitted
  • Use the Service in a way that could damage, disable, overburden, or impair the Service or interfere with other users
  • Upload or transmit malicious code, viruses, or other harmful content
  • Attempt to gain unauthorized access to any portion of the Service, other user accounts, or related systems
  • Use the Service to provide a competing clinical reference product
  • Enter protected health information (PHI) or any other patient-identifying data into the Service

6. Intellectual Property

6.1 Our Content

All content within the Service, including text, graphics, layouts, designs, logos, trademarks, calculators, and the selection and arrangement of clinical content, is owned by or licensed to AVENORA HEALTH PLLC dba Birth Science Unpacked and is protected by United States and international copyright, trademark, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal professional reference. This license does not grant you the right to:

  • Reproduce, distribute, or display the Service or its content publicly
  • Create derivative works
  • Use the Service or its content for commercial training, paid courses, or resale
  • Remove or alter any copyright, trademark, or other proprietary notices

6.3 Citation of Underlying Guidelines

The Service references and summarizes content from third-party guideline bodies (including but not limited to ACOG, ACNM, AWHONN, SMFM, CMQCC, and others). Original guideline documents remain the intellectual property of their respective organizations. Birth Science Unpacked's summaries, interpretations, and presentation are our original work; the underlying clinical recommendations remain attributable to the issuing organizations.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that feedback without restriction or obligation to you.


7. Disclaimers

7.1 "As Is" Provision

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, and non-infringement.

7.2 No Warranty of Accuracy

While we strive to maintain accurate and current clinical reference content, we do not warrant that the information in the Service is complete, accurate, or up to date. Clinical content is subject to the limitations described in Section 2.

7.3 No Warranty of Availability

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. Temporary service disruptions may occur without notice.


8. Limitation of Liability

To the fullest extent permitted by applicable law, AVENORA HEALTH PLLC, its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising out of or related to the Service or these Terms will not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

Without limiting the foregoing, we are not liable for any clinical outcome, patient harm, misdiagnosis, or treatment decision made by you or any other user, whether or not influenced by information accessed through the Service. Clinical decisions are solely your responsibility as a licensed provider.


9. Indemnification

You agree to indemnify, defend, and hold harmless AVENORA HEALTH PLLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your breach of these Terms
  • Any clinical decision you make, whether or not influenced by the Service
  • Your violation of any law, regulation, or third-party right
  • Any claim brought by a patient or third party arising from your clinical practice

10. Termination

We reserve the right to suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive conduct, or for any other reason at our sole discretion. Upon termination, your license to use the Service ends immediately. Sections that by their nature should survive termination will survive, including Sections 2, 6, 7, 8, 9, and 12.


11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top. If changes are material, we will provide notice through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Service and cancel your subscription.


12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Florida. You consent to personal jurisdiction in those courts.


13. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Birth Science Unpacked regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
